CTCP Tập đoàn Hóa chất Đức Giang (MCK: DGC) mới thông báo Nghị quyết HĐQT về việc thông qua chủ trương sáp nhập Công ty TNHH MTV Phốt Pho 6 (PP6) vào Công ty TNHH MTV Hoá chất Đức Giang Lào Cai (DLC); chuyển giao toàn bộ tài sản, quyền, nghĩa vụ và lợi ích hợp pháp khác cử PP6 về DLC.

Vốn điều lệ của DLC sau khi sáp nhập PP6 tăng từ 997,9 tỷ đồng lên 1.360,9 tỷ đồng.

Theo tìm hiểu, Phốt pho 6 có vốn điều lệ là 363 tỷ và trụ sở Lô B24, B24A, Khu công nghiệp Tằng Loỏng, thị trấn Tằng Loỏng, huyện Bảo Thắng, tỉnh Lào Cai và hiện đang sở hữu 01 lò phốt pho vàng với công suất 9.800 tấn/năm,

Trước đó, vào tháng 7 vừa qua, Tập đoàn Hóa chất Đức Giang công bố thông tin đơn vị thành viên là Công ty TNHH MTV Hoá chất Đức Giang Lào Cai đã mua thành công 100% cổ phần tại CTCP Phốt pho 6 và chuyển đổi thành Công ty TNHH MTV Phốt Pho 6.

Tổng số tiền Hoá chất Đức Giang phải bỏ ra để mua lại Phốt pho 6 lên tới 635 tỷ đồng, tương đương giá 17.500 đồng/cổ phiếu, gần gấp đôi so với mức vốn điều lệ của Phốt pho 6.

Hóa chất Đức Giang cho biết mục đích mua để tạo chuỗi sản phẩm chế biến sâu cho các sản phẩm H3PO4, Sodium Tripoly Phosphate – STPP (Na5P3O10)…; ổn định thị trường xuất khẩu phốt pho; và tăng doanh thu và lợi nhuận cho Tập đoàn.

Ngoài thâu tóm PP6, trong quý đầu năm nay, DGC cũng đã mua vào 3.440.252 cổ phiếu CTCP Ắc quy Tia Sáng (Tibaco, MCK: TSB) để nâng sở hữu từ 0% lên 51% vốn điều lệ. Giao dịch được thực hiện với giá 39.200 đồng/cổ phiếu, ước tính giá trị đầu tư đạt 134,86 tỷ đồng.

Về tình hình kinh doanh tại Tập đoàn Hóa chất Đức Giang, quý III/2023 công ty mang về 2.463,54 tỷ đồng doanh thu, giảm 33,3% so với cùng kỳ và lợi nhuận sau thuế đạt 802,86 tỷ đồng, giảm 47% so với cùng kỳ năm trước.

Luỹ kế trong 9 tháng đầu năm 2023, Công ty Hoá chất Đức Giang ghi nhận doanh thu đạt 7.360,23 tỷ đồng, giảm 35,1% so với cùng kỳ và lợi nhuận sau thuế ghi nhận 2.504,7 tỷ đồng, giảm 49,1% so với cùng kỳ năm trước.

Với 4 dòng chủ đạo bao gồm Chất tẩy rửa, Hóa chất công nghiệp, Phân bón, phụ gia thức ăn chăn nuôi, hệ thống sản phẩm của Hóa chất Đức Giang xoay quanh một nguyên tố, đó là phốt pho. Nhà máy của Đức Giang ở Lào Cai là nơi sử dụng quặng loại 1, loại 2, loại 3 ở cả dạng cục và dạng bột làm nguyên liệu đầu vào để sản xuất phốt pho.

Background

On October 11, 2016, the Prime Minister issued Document No. 1778 / TTg-KTN on supplementing the coal plant into the National Power Development Plan. The proposal is to build a two-unit, 100-MW coal-fired power plant to power the Duc Giang - Lao Cai chemical plant in Lao Cai province, near the border with China.

In April 2017, plant sponsor Duc Giang - Lao Cai Chemicals Joint Stock Company reported that it was breaking ground on the project. Construction is expected to take 24 months from the date of leveling, with completion expected in 2019 or 2020. According to the announcement for the ground-breaking, the plant will provide electricity for the Duc Giang Chemical Complex in Lào Cai, which produces phosphorus and other products. Currently, electricity makes up 26% of the expenses at the complex. Coal use is expected to be about 320,000 tons per year, sourced from Quang Ninh (expected type 6) or from China by waterway and road.

In June 2017, Duc Giang - Lao Cai Chemicals Joint Stock Company said it planned to issue US$92 million in bonds to finance the plant. The project would be completed in 2019 or 2020.

The plant is intended to be run 7,200 hours per year, generating 720 million kWh/year. Of this, 12% is self-consumption by the plant and power supply is 634 million kWh/year.

In December 2019, Lao Cai province rejected the chemical plant's construction investment for the coal-fired power station, citing environmental concerns. As of June 2021, there have been no subsequent announcements of progress on construction on the power station, and the project appears to be shelved.

The September 2021 draft of the Power Development Plan 8 (PDP8) gives a commissioning date of 2031-2035 for the plant.

An October 2021 report by GreenID lists the Duc Giang - Lao Cai Chemicals power station as one of 18 coal-fired power stations in Vietnam that was struggling to secure financing. Given that China, Japan, and South Korea have all committed to stop financing new coal-fired power stations, it will be extremely difficult for any of these projects to secure funding in the future.

On July 4, 2022, the Ministry of Industry and Trade appeared to provide an update on the draft PDP. The document’s list of major power projects planned for 2021-2030 (PDF pages 18-20) did not include the project.

Environmental impact

In May 2018 mud and soil dislodged by the Duc Giang Lao Cai chemical plant damaged rice fields in Xuan Giao commune, Bao Thang district, Lao Cai province.

In 2021, Duc Giang - Lao Cai Chemicals Joint Stock Company was sanctioned three times for violations of natural resources and environmental laws. The violations ranged from waste dumping to failing to adequately monitor raw mineral storage and transportation.

Financing

In June 2017, Duc Giang - Lao Cai Chemicals Joint Stock Company said it planned to issue US$92 million in bonds to finance the plant. Also in 2017 it was reported that the project would be financed by 30% equity, 70% loan of VND1,400 billion from Vietcombank.
